The Company Secretary/Clerk to the Trustees plays a pivotal role in promoting transparency, accountability, and ethical conduct within Vennture, the charity, and its operating arm, Vennture Enterprises Ltd., together with administrative and secretarial support to both sets of Trustees.
It involves ensuring that the organisations operate in accordance with all relevant regulations and operating guidelines and best practice, facilitating effective communication between the board, management, and overseeing corporate secretarial duties. They will act as a key point of contact between Trustees and the senior leadership team of both organisations.

1. Board support and administration

• Support the Chairman and the Trustees of both boards in fulfilling their responsibilities, including scheduling meetings, preparing agendas, and distributing materials.
• Coordinate and schedule trustee meetings, ensuring availability of all relevant parties.
• Prepare and distribute meeting agendas, supporting documents, and minutes in a timely manner.
• Attend trustee meetings, record proceedings, and accurately transcribe discussions and decisions.
• Assist in the preparation of presentations, reports, and other materials for trustee meetings.
• Facilitate board evaluations and assessments to enhance board effectiveness and performance.
• Maintain corporate records, including board minutes, resolutions, and corporate governance documents.
• Assist in the orientation and training of new trustees, providing them with necessary information and resources.
• Coordinate the annual review and evaluation of trustee performance and effectiveness

2. Legal and Regulatory Compliance

• Provide guidance and advice to both Trustee boards on corporate governance practices, regulatory requirements, and board effectiveness.
• Ensure compliance with applicable laws, regulations, and codes of corporate governance.
• Assist in the development and implementation of corporate governance policies and procedures.

• Stay informed about relevant laws, regulations, and best practices pertaining to trustee governance and charity commission legislation.
• Ensure that trustee activities and decisions comply with legal and regulatory requirements.
• Assist in the preparation and filing of legal and regulatory documents as necessary.

3. Recordkeeping and Documentation

• Maintain comprehensive and up-to-date records of trustee meetings, decisions, and actions.
• Manage trustee documentation, including policies, and governance documents.
• Ensure compliance with legal and regulatory requirements regarding recordkeeping and documentation.

4. Communication and Correspondence

• Serve as the primary point of contact for trustees, responding to enquiries and requests promptly and professionally.
• Facilitate communication between trustees, the leadership team, and other stakeholders as needed.
• Prepare and distribute correspondence on behalf of the Board of Trustees, including official announcements and notifications.
• Assist in the organisation of Trustee events, Away Days and other activities.

5. General Duties.

• Adopt a flexible approach responding to the needs of the service as appropriate
• Act as a role model for Vennture at all times, upholding the values and behaviours
• Maintain confidentiality and discretion and comply with the requirements of General Data Protection Regulations

 

  • You will have proven experience in a similar role preferably within a charity setting or board of trustees environment.
  • You will have knowledge of governance principles, legal requirements and best practice related to Trustee activities
  • You will be passionate about attention to detail and be highly organised with excellent written and verbal communication skills.
  • You will be able to connect to our values and the vision and purpose of Vennture
